1. Agreement to Terms

These Terms and Conditions ("Terms") are a legally binding agreement between you ("you," "your," "User") and Tempx Valnex ("we," "us," "our," "Platform") regarding your access to and use of our website, apps, trading tools, and related services (the "Services"). The laws of England and Wales govern these Terms.

By registering, accessing the platform, or using any Services, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookies Policy, which form part of this agreement.

If you do not agree, you must not use our Services or create an account.

2. Eligibility and Account Registration

2.1 Age and Legal Capacity

To use Tempx Valnex, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Possess the legal capacity to enter into binding contracts under applicable law
• Not be prohibited from using financial services under UK or international law
• Reside in a jurisdiction where our Services are legally available

2.2 Restricted Jurisdictions

Our Services are not available to residents or citizens of the following jurisdictions:

• United States of America and its territories
• North Korea (Democratic People's Republic of Korea)
• Iran, Syria, Cuba, and other OFAC-sanctioned countries
• Crimea region and other internationally sanctioned territories
• Any jurisdiction where crypto trading or CFD services are prohibited by law

By using our Services, you represent and warrant that you are not located in, under the control of, or a national or resident of any restricted jurisdiction.

2.3 Account Verification (KYC)

In compliance with the UK Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended) and related legislation, all users must complete identity verification. You agree to:

• Provide accurate and truthful personal information
• Submit valid government-issued identification (e.g. passport, driving licence)
• Provide proof of UK residential address dated within the last 3 months
• Update your information promptly if it changes
• Consent to verification checks with authorised third-party identity providers

Failure to complete verification within 14 days of registration may result in account suspension or closure.

2.4 Account Security

You are solely responsible for:

• All activities conducted through your account
• Immediately notifying us of any unauthorised access or security breaches
• Enabling two-factor authentication (2FA) for enhanced security

We are not liable for losses resulting from unauthorised account access due to your failure to secure your credentials.

3. Services Description

Tempx Valnex offers an automated crypto trading platform that includes:

• AI-Powered Trading Automation: Algorithmic trading bots that execute trades based on predefined strategies
• Strategy Marketplace (Tokenizer360): Access to professional trading strategies created by verified traders
• Multi-Exchange Integration: Connectivity to supported cryptocurrency exchanges via secure API
• Portfolio Management Tools: Real-time analytics, performance tracking, and risk management features
• Educational Resources: Tutorials, webinars, and market insights

Important: Tempx Valnex is a technology platform that provides trading tools and automation software. We are not a financial institution, broker, investment adviser, or fund manager. We do not hold, custody, or control user funds. All trading is done directly on third-party exchanges that you connect to our platform.

4. Trading Risks and Financial Disclaimers

4.1 High-Risk Investment Warning

⚠️ CRITICAL WARNING: Trading cryptocurrencies and CFDs involves substantial risk of loss and is not suitable for all investors. You may lose some or all of your invested capital. Past performance does not guarantee future results. Only invest money you can afford to lose entirely without affecting your financial well-being.

4.2 No Financial Advice

Nothing on our platform constitutes financial, investment, tax, or legal advice. All information provided—including automated trading strategies, market analysis, and historical performance data—is for informational and educational purposes only.

You are solely responsible for your trading decisions. We strongly recommend consulting licensed financial advisors, accountants, and legal professionals before engaging in crypto trading.

4.3 No Performance Guarantees

We make no representations, warranties, or guarantees regarding:

• The profitability or performance of any trading strategy
• The accuracy of AI predictions or market analysis
• The continuous availability or uninterrupted operation of the platform
• Compatibility with all exchanges or trading pairs

Cryptocurrency markets are highly volatile and unpredictable. Automated trading strategies can result in significant losses during adverse market conditions.

4.4 User Responsibility

By using our Services, you acknowledge and accept that:

• You trade entirely at your own risk
• You are responsible for monitoring your trading activity and account balances
• You understand the mechanics of automated trading and associated risks
• You will not hold Tempx Valnex liable for trading losses

5. Fees and Payments

5.1 Platform Fees

Tempx Valnex operates on a subscription-based model with the following tiers:

• Free Tier: Available for trading volumes up to £780 per month (no subscription fee)
• Basic Plan: Approximately £12/month for volumes up to £5,200
• Pro Plan: Approximately £39/month for volumes up to £26,000
• Premium Plan: Approximately £78/month for unlimited volume and advanced features

All prices are in British Pounds (GBP) and are subject to change with 30 days' advance notice.

5.2 Exchange Fees

In addition to platform fees, users are responsible for all fees charged by connected cryptocurrency exchanges, including:

• Trading commissions and transaction fees
• Deposit and withdrawal fees
• Network fees (blockchain gas fees)
• Spread costs and slippage

Tempx Valnex does not receive any portion of exchange fees. These are paid directly to the respective exchanges.

5.3 Payment Terms

Subscription fees are billed monthly in advance. Accepted payment methods include credit cards, debit cards, bank transfers, and select e-wallets. Failure to pay subscription fees may result in service suspension.

Refund Policy: Subscription fees are non-refundable except where required by the Consumer Rights Act 2015 or other applicable UK law. You may cancel your subscription at any time; access continues until the end of the current billing period.

6. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or these Terms
• Use the platform for money laundering, terrorism financing, or other illegal activities
• Create multiple accounts to circumvent subscription limits or restrictions
• Attempt to reverse-engineer, decompile, or extract source code from our software
• Use automated tools (bots, scripts) to access our platform without our authorisation
• Interfere with the security or integrity of our systems
• Misrepresent your identity, affiliations, or authority
• Share your account credentials with others
• Engage in market manipulation, wash trading, or fraudulent trading practices
• Use the platform to transmit malware, viruses, or harmful code

Violation of these prohibitions may result in immediate account termination, legal action, and reporting to relevant authorities.

7. Intellectual Property Rights

All content, software, trademarks, logos, designs, and materials on the Tempx Valnex platform are protected by copyright, trademark, patent, and other intellectual property laws. These are the exclusive property of Tempx Valnex or our licensors.

Limited License: We grant you a non-exclusive, non-transferable, revocable license to access and use our Services strictly in accordance with these Terms. This license does not permit you to:

• Copy, modify, distribute, or create derivative works
• Sell, sublicense, rent, or lease access to the platform
• Use our branding or trademarks without written permission
• Frame or mirror our website content

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF ENGLAND AND WALES:

• Tempx Valnex, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
• Our total liability for any claim relating to the Services shall not exceed the fees you paid to us in the 12 months before the claim arose
• We are not responsible for losses caused by exchange failures, market volatility, network congestion, software defects, or force majeure
• We do not guarantee uninterrupted or error-free operation of the platform

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under the laws of England and Wales (including the Consumer Rights Act 2015 where applicable).

9. Indemnification

You agree to indemnify, defend, and hold harmless Tempx Valnex, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your use or misuse of the Services
• Your trading activities and investment decisions
• Unauthorised access to your account due to your negligence

10. Account Suspension and Termination

10.1 Termination by User

You may close your account at any time by contacting our support team or using the account closure feature. Upon closure, you will no longer have access to the platform, but data may be retained as required by law.

10.2 Termination by Tempx Valnex

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms or applicable laws
• Your account is used for fraudulent or illegal activities
• You fail to complete identity verification
• Your account remains inactive for more than 12 months
• Required by regulatory authorities or law enforcement

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

11.2 Dispute Resolution

Before starting legal proceedings, you agree to try to resolve any dispute by contacting our support team at [email protected]. If we cannot resolve the matter within 30 days, either party may refer the dispute to arbitration under the LCIA (London Court of International Arbitration) Rules, seated in London and conducted in English.

11.3 Jurisdiction

Subject to arbitration, you irrevocably submit to the exclusive jurisdiction of the courts of England and Wales, and any courts competent to hear appeals from those courts.

12. Changes to Terms

We may modify these Terms at any time to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated via email or prominent notice on the platform at least 30 days before taking effect.

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using our Services and close your account.

13. Miscellaneous Provisions

13.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Tempx Valnex regarding the Services, superseding all prior agreements or understandings.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity.
